OFFICIAL RULES & REGULATIONS

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED BY LAW.

1. Sponsor: The Rodel Foundation of Delawareof Delaware, 100 W. 10th Street, Suite 704, Wilmington, Delaware 19801 (the "Sponsor").

2. Eligbility: The "Youth Vision, Your Voice" Contest (the "Contest") is open to all students who are currently enrolled full-time in public school in grades eight (8) through twelve (12) in the State of Delaware. Entrants under eighteen (18) years of age must have the written consent of at least one (1) parent or legal guardian in order to participate in the Contest and by providing such consen, such parent or legal guardian also agrees to be bound by these Official Rules.

The following individuals are not eligible to participate int he Contest: employees, contractors, directors and officers of Sponor, and each of their respective parent, subsidiaries and affiliated companies, distributors, web design, advertising, fullfillment, judging and contest agencies involved in the adminstration, development, fullfillment and exceution of this Contest, and their immediate family members (spouse, parent, child, sibling and spouse or "step" of each) and those living in the same households of each.

3. How to Enter: The Contest begins on January 21, 2008 at 12:01 a.m. Eastern Time ("ET") and ends at 11:59 p.m. ET on April 15, 2008 (the "Entry Period"). The purpose of the Contest is to give Delaware public school students in grades 8-12 the opportunity to promote their creative work and opinions on the issue of education. Accordingly, entrants must answer the following question in a self-made video or written essay: What should Delaware schools look like if they are going to prepare all students to be ready for college, work, and life in a global society?

Contest entries are limited to three (3) entrants per entry for visual presentation, and one (1) entrant per entry for essays.

Essay Category: During the Entry Period, log on to www.yourvisionyourvoice.com to print and complete a copy of the Official Entry Form. All essay entries must be mailed to contest@yourvisionyourvoice.org on or before April 15, 2008. All Official Forms must be sent to Rodel Your Vision, Your Voice Contest, Attn: Antonia De Luz, Rodel Foundation of Delaware, 100 W. 10th Street, Suite 704, Wilmington, DE 19801. To be elgible in the essay category, essay entrants must provide the following documents via male only, and they must be postmarked prior to the expiration of the Entry Period: (i) the completed Official Entry Form (including the signed permission from the entrant's paren or legal guardian if the entran is a minor), and (ii) a typewritten, double-spaced essay with numbered pages containing no more than 1,400 words which answers the question "What should Delaware schools look like if they are going to prepare all students to be ready for collge, work, and life in a global society?" Essays must be written in English and essays on any other topic other than the chosen topic will be disqualified. Any plagiarism and/or failure to properly identify non-original materials which are not properly identified will also be disqualified. All words in the ssay, except any title, bibliography and/or footnotes, shall be counted towards the 1,400 word limit. Essays that the Sponsor and/or judges deem, in their sole discretion, to be inappropriate or obscene shall be disqualified.

Visual Presentation Category: During the Entry Period, log on to www.yourvisionyourvoice.com to print and complete a copy of the Official Entry Form and send it to Rodel Your Vision, Your Voice Contest, Attn: Antonia De Luz; Rodel Foundation of Delaware, 100 W. 10th Street, Suite 704, Wilmington, DE 19801, prior to expiration of the Entry Period. Visual Presentations must be submitted in one of the following formats: QuickTime, MPEG, AVI or WMV.

Create a two (2) minute (or less) video which answers the question "What should Delaware Schools look like if they are going to prepare all students to be ready for college, work, and life in a global society?"

To enter a visual presentation in the Contest, log onto http://www.youtube.com/group/yourvisionyourvoice and complete the following process prior to expiration of the Entry Period:

  • Register on YouTube: If you are not an existing user of YouTube, you will be required to create a free user account at http://www.youtube.com/signup. Registration on YouTube must be completed before a video can be entered in the Contest. When you register your YouTube account, you will be required to agree to the YouTube Terms of Use, located at http://www.youtube.com/t/terms, and the YouTube Privacy Policy, located at http://www.youtube.com/t/privacy.
  • Upload your Video Submission: Once registered with YouTube, go to http://www.youtube.com/group/yourvisionyourvoice and join the Contest Group. When you have successfully joined the Contest Group, click "Upload Videos" and follow the instructions to upload your finale, edited video. Video submissions that do not include all required information and adhere to the foregoing and following requirements will be considered void and will not be considered in the judging of this Contest.
  • Important: Sponsor is not responsible for entrant's failure to complete each step of the registration process. Be sure to save your video in the original format after uploading it to YouTube, as winners will need to provide Sponsor with the video in its original format to be valid.

  • Additional Requirements for Visual Presentation: Videos must be two (2) minutes or less in length, including any tags, and must be in English (no sub-titles). The person named as the registered owner of the user account on YouTube associated with the video must match, and that person along with co-entrants named on the Official Entry Form, if any, will collectively be deemed the entrant, or the registered owner of the user account on YouTube must be a parent or legal guardian of an entrant. In the event of a dispute will be resolbed in favor of the individual who is the "authorized e-mail account holder" of the e-mail address provided when the YouTube user account was created. "Authorized e-mail account holder" is defined as the natural person assigned an e-mail address by an Internet access provider, online service provider, or other organization (i.e. business, education institution) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If any group of individuals elects to collaborate on a video in accordance with these Official Rules, they are required to designate one (1) representative to act on behalf of the group and accept the prize on behalf of the group. Sponsor is not liable for any disputes between collaborators regarding prizes which may be awarded for a video submission. Any elements incorporaed into videos, including, without limitation, music, audio, speak/voiceovers, stills, or other audio-visual materials used must be (i) entirely original, created and performed by the entrant, or (ii) be in the public domain. Use of any elements, including, but not limited to, music, audio, speech/voiceovers, stills, or other audio-visual materials that are not original or in the public domain, may result in disqualification in Sponsor's sole discretion.

4. Conditions of Entry: As conditions of entry into this Contest, each entrant warrants and represents that their essay or video, as applicable, (i) is original and has been legally createdl (ii) does not infringe the intellectual property, privacy or publicity rights or any other legal rights of any third party; (iii) has bot been entered in or won previous contests or awards; and (iv) has not been published or distributed previously in any media. Entrants represent that he or she owns all rights to his or her essay or visual presentation. Entrants furter represent and warrant that entrant has obtained written consent from each person whose name, image, likeness or voice ("Likeness") is included in any video submission, and that such person(s) have granted entrant all necessary rights to use the person's Likeness as described in these Official Rules, and entrant can make copies of such consents available to Sponsor upon request. If the Likeness of a minor is included, such grant of rights must include written consent from the minor's parent or legal guardian authorzing the use of the minor's Likeness on behalf of the minor. By entering this Contest, each entrant agrees Sponsor shall own the entry submitted, whether essay or visual presentation (including all rights embodied therein), and that it and its designees may exploit all elements of such entry in any and all media now known or not currently known (including the right to post the entry on Sponsor's web-site), without compensation to entrant or any third party and without limitation to time or territory. The Sponsor reserves all rights, including the right to edit, publish, use, adapt, exploit, modify, copy, disseminate, post, or dispose of any entry (whether essay or video), online, in print, film, television, or in any other media for advertising and promotional or other purposes without compensation or notification to the entrant of any kind, except as prohibited by law. Entrant waives intellectual property rights, privacy and publicity rights or other legal rights that might preclude Sponsor's use of the entry, and agrees not to sue or assert any claim against the Sponsor for the use of the entry or entrant's Likeness or statements. Entrant furth agrees to release Sponsor from any and all claims that any advertising subsequently produced, presented and/or prepared by or on behalf of Sponsor infringes entrant's rights with regard to any elements, characters or dieas contained in an entry.

5. Juding and General Rules: Each essay or visual presentation will be reviewed by a panel of impartial, independent judges and assigned a composite score based on the following criteria: organization and clarity of message, proper grammar, originality, and ability to attract and hold the attention of the audience (i.e. creativity, uniqueness and humor). The judges' decisions are final and binding on all matters relating to scoring of entries. If a visual presentation or essay is submitted more than once, the visual presentation or essay first received will be scored, and subsequent submissions of the visual presentation or essay will be disqualified and receive no points. Each visual presentation or essay must be submitted as set forth in these Official Rules. Any entries which do not comply with these Official Rules are void and subject to disqualification. Sponsor has no responsiblity for undelivered, lost, illegible, incomplete, misdirected, late, altered, forged, or otherwise defective entries. All entries upon submission are the property of Sponsor and will not be acknowledged or returned. Entries must be in keeping with Sponsor's image and may not be offensive or obscene, as determined by Sponsor and the judges in their sole discretion, nor can entries defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any persons personal or proprietary rights. Sponsor reserves the right in its sole discretion to disqualify any entry at any time in the event Sponsor determines that the entrant has not compiled with these Official Rules. Sponsor reserves the right to require winners to submit to a confidential background check to confirm eligibility as a condition of awarding the prize to help ensure that the use of any such person is advertising or publicity of the Contest will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorable on the contest os determined by Sponsor in its sole discretion.

6. Prizes: Prize winners will be revealed on Sponor's website www.yourvisionyourvoice.com on April 26, 2008. Prizes will be awarded in the visual presentation and essay categories from the pool of valid entries received during the Entry Period. For both video and essay categories, academic scholarships will be awarded to first, second, and third place winners in the amounts of $1,500, $1,000, and $750, respectively. Scholarships will be awarded to the prize winners in one (1) lump sum payment in the form of an educational savings account/529 Plan (if winner is team of collaborators for video entry, prizes will be distributed to team representative selected by collaborators: Sponsor is not liable for any disputes between collaborators regarding prizes which may be awarded). Prize winner who is under eighteen (18) years of age will be required to sign an Affidavit of Eligibility and Release prior to claiming any prize. Prize winners may also be required to sign additional documents as deemed necessary by Sponsor in its sole discretion.

all prize winners will also receive gift bags containing various prizes, including, gift cards, educational materials, books, and other items deemed appropriate by Sponsor and the judges. All prize winners will also have their entries presented at the Your Vision, Your Voice: Youth Summit on Saturday, April 26, 2008.

Prizes may not be substituted except by Sponsor, who reserves the right to award a substitute prize of equal or greater value. Prizes are non-transferable. All federal, state and local taxes, if any, are the sole responsibility of the prize winners. Prizes will be awarded "as-is" with no warranty or guarantee, either express or implied by Sponsor.

7. Claiming a Prize: Winners will be notified via e-mail, within ten (10) days following selection of the winners, at the e-mail address provided in the Official Entry Form. all prizes must be claimed within ten (10) days following receipt of notification wihtout exception. To claim the prize, winners must respond to Sponsor's prize notifcation e-mail and follow the instructions set forth in such e-mail. All unclaimed prizes will be forfeited and awarded to alternative winners selected from the original pool of eligible entries for the Contest.

8. General Conditions: By participating in the Contest, entrants agree to abide by the terms and conditions of these Official Rules, the YouTube Terms of Use and YouTube Privacy Policy, and by the decisions of Sponsor and the judges, which will be final and binding on all matters pertaining to the Contest. Neither Sponsor, nor its parent, affiliates, subsidaries, divisions, advertising and promotion agencies, or the respective officers, directors, employees, or agents of the foregoing (collectively, the "Released Parties") are responsible for (i) any injury, losses, or damages of any kind resulting from participation in this Contest or acceptance, possession or use of any prize; or (ii) any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including, but not limited to, its quality, mechanical condition or fitness. If for any reason the Contest is not capable of running as planned, including infection by computer viruz, bugs, tampering, unauthorized intervention, fraud, technical failures or malfunctions, or any other causes beyond the control of Sponsor, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest, and judge entries from among all eligible, nonsuspect entries received prior to such action. Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries whether visual presentation or essay. Released Parties are not responsible for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Contest: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of any web-site in whole or in part for any reason; traffic congestion on the Internet or any web-site; unauthorized human or non-human intervention of the operation of the Contest, including, without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; destruction of any aspect of the Contest, or inaccessibility or unavailability of an e-mail account used in connection with the Contest. Any action with the respect to these Official Rules or the Contest shall be brought in either the state or federal courts located in the State of Delaware, and by entering this Contest, all entrants agree to the jurisdiction of such courts. These Official Rules shall be exclusively governed, construed and interpreted in accordance with the laws of the State of Delaware. If any provision of these Official Rules shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions. Entrants agree to indemnify and hold the Released Parties harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Released Parties due to or arising out of the entrant's submission, or the entrant's conduct in creating a submission or otherwise in connection with this Contest, including, but not limited to, claims for trademark infringement, copyright infringement, violation of any individuals' right of publicity or rihgt of privacy, or defamation.

9. Privacy: Except where prohibited by law, by entering this Contest, each entrant agrees that Sponsor and its designees may use his or her name, Likeness, biographical information, statement, voice, visual presentation or essay for advertising, promotional and other purposes in any media now or hereafter known throughout the world (including the right to post entries on Sponsor's web-site) without further compensation or notification.

10. Compliance with Official Rules: All entrants agree to abide by the Official Rules, which are subject to change at the sole discretion of Sponsor.
